Elon Musk threatened to end the deal on Twitter due to fake accounts.

Tesla CEO Elon Musk has blamed the social network for failing to comply with a data request on how many fake accounts the site has, threatening to end its $44 billion takeover bid for Twitter.

“Mr. Musk has no obligation to explain the reasons for the data request or to comply with the new conditions the company is trying to impose on its contractual right to the data requested,” said Vijay Gadde, General Counsel, on Twitter.

“At this point, Mr. Musk said Twitter publicly refused to honor its obligations under the merger agreement,” Ringler said.

Ringler added that “based on Twitter’s behavior to date,” Musk believes the company is actively resisting and violating its information rights (and related company obligations) under the integration agreement.

“This is a clear material breach of Twitter’s obligations under the merger agreement, and Mr. Musk has all rights arising therefrom, including the right not to complete the transaction and the right to terminate the merger agreement,” he said.

Last month, Musk, who won a $44 billion bid to buy and take the company private, said his deal with Twitter would “not last” until the company clarified the number of bot accounts on the platform.

The SpaceX CEO added that his proposal is based on “the accuracy of Twitter’s SEC filings” and that he believes there could be 20% bots “or *more” on the platform.

Musk threatened to end his deal on Twitter, after which the billionaire said he plans to cut ten percent of jobs at the electric automaker because he has a “very bad feeling” about the economy.

The company, which plans to apply a moratorium on hiring, caused the share price to drop by 3.5% in intraday trading.
