The messages reveal that the founder discussed the future of Twitter with Musk even before the purchase announcement.

When Musk announced in April his intention to buy Twitter for $44 billion, with an ambitious plan to delist and transform the company, he had already discussed the matter with Jack Dorsey. At least that is the idea conveyed by the messages exchanged between Dorsey, co-founder and former CEO of Twitter, and Elon Musk, the richest man in the world.

The messages were made public this Thursday, as part of the lawsuit filed by Twitter against Musk, in which the social network wants to force the South African businessman to comply with the agreement and finalize the acquisition of Twitter.

In the messages, which date from the end of March, it can be seen that Dorsey no longer agreed with the direction of the company. “A new platform is needed. It can’t be a company. That’s why I left,” reads one of Dorsey’s messages.

Musk quickly asks what such a company should look like. “I think it should be an open source protocol, controlled by a foundation that doesn’t own the protocol, it just promotes it. A bit like what Signal did”, you can read.

“You cannot have an advertising model. Otherwise, you will be left with a shallow area where governments and advertisers will try to influence and control. If you have a centralized entity behind you, you will be attacked.”

And Dorsey continues, saying that “this is not a complicated job, you just have to do it well to make it resilient (…)”. Musk’s response was brief: “Super interesting idea.”

In fact, the fact that Twitter is a company is seen by Dorsey as the “original sin of Twitter.” “It should never have been a company,” he told Musk, noting that the initial idea was such a protocol.

Dorsey explained that he wanted to get in touch with Elon Musk because he believes the Tesla owner “cares a lot” about these issues, because he “realizes the importance” and can “definitely help immeasurably.” And in the messages, Musk says that he “would like to help.”

It also appears that Dorsey has tried to give Musk a spot on the Twitter forum on other occasions. “How much did the activist spend [fundo que entrou no Twitter em 2020], I did my best to get you on our ‘board’, but the ‘board’ said no. That’s when I decided I needed to work to get out. [da empresa]as painful as it was for me.”

Dorsey also shared with Musk that the company’s “board” “is very risk averse.” The board of directors even considered that, by including Musk, it would be just another opportunity to bring more risk to the company. “Which I think is completely stupid,” Dorsey commented in messages to Musk, explaining that he only has one vote and 3% of the company.

Interestingly, when Musk bought shares in Twitter to reach 9.2% of the capital, he was guaranteed a seat on the board of directors, something the richest man in the world refused.

Twitter’s trial against Elon Musk is set for October 17.
