Tesla CEO Elon Musk’s counterclaim against Twitter was announced Friday, making aggressive new allegations about the way social media counts bots and spam accounts.

Musk is trying to use these allegations to justify withdrawing from the $44 billion buyout deal. Musk said that the more he learned about Twitter’s account verification process, the more worried he became and decided that the deal was no longer valid.
At Tesla’s last annual shareholder meeting, Musk said, “I understand the product so well that I think I have a good idea of where to send the Twitter engineering team to make it better. I think it will be very beneficial for the world.”
Musk’s counterclaim makes it clear that he wants to get out of the deal he agreed in April to buy the site. Musk alleges that Twitter is fraudulent, breach of contract, and violating the Texas Securities Act. Musk’s lawyer claims that while Twitter has 238 million daily monetizing active users, the percentage of people who actually see ads is 65 million less.
Musk also says that most ads were shown to less than 16 million users; That’s less than seven percent of the number of users that Twitter claims could generate revenue for the company by viewing these ads.
“Twitter has been playing hide-and-seek for months to get there before Musk learns the truth about these performances where they were supposed to shut the parties down,” the counterclaim said. “The more Twitter shy away from even simple requests, the more Musk parties suspect Twitter is misleading them.”
